Overview

Terms and Conditions (AGB) Drafted for services provided to businesses (B2B) and, where relevant, to consumers. Services: consulting, coaching, workshops, seminars and keynotes. Sections 305 et seq. German Civil Code (BGB) apply. Check whether section 13 applies to you.

1. Scope

These Terms and Conditions (the "Terms") apply to all contracts between Dr. Nora Engelbert (the "Provider") and its clients (the "Client") for consulting, coaching, workshops, seminars, keynotes and other services offered on this website or in individual offers ("Services"). Deviating terms of the Client do not apply unless the Provider has expressly agreed to them in writing.

2. Introductory call, offers and conclusion of contract

2.1 The first introductory call is free of charge and non-binding. It does not create any obligation to purchase Services.
2.2 Information on this website is non-binding and does not constitute an offer. A contract is concluded when the Client accepts a written offer from the Provider or when the Provider confirms the booking in writing (including by email). Accepting a booking or signing a proposal constitutes acceptance of these Terms.
2.3 Individual agreements, such as a project proposal or a service agreement, take precedence over these Terms.

3. Scope, language and delivery of services

3.1 The scope, content, timing and format of the Services are defined in the respective written offer or booking confirmation. Unless otherwise agreed, the Provider owes the Services with the care of a professional, but does not owe a specific result, such as a particular business outcome, decision, market success or regulatory approval.
3.2 Services are delivered in English or German, as agreed in writing.
3.3 Services are delivered remotely or in person, as agreed. Some formats, such as team constellations or on-site sessions, require attendance in person. 3.4 The Provider may engage trusted partners to deliver parts of the Services. The Provider remains responsible to the Client for the performance of such partners.

4. Prices and payment

4.1 Prices are quoted in the individual offer. Unless otherwise stated, prices are quoted in euros.
4.2 Option A (small business exemption): As a small business owner under § 19 UStG, no VAT is charged. Option B (standard VAT regime): All prices are net of statutory VAT, which is added at the applicable rate. [TO CONFIRM: choose one option and delete the other.]
4.3 Unless otherwise agreed, invoices are payable within [TO CONFIRM: e.g. 14 days] of the invoice date without deduction. 4.4 Travel, accommodation and material costs are charged separately if not included in the offer.
4.5 If payment is overdue, the Provider may suspend the Services until payment is received. Statutory default interest and fees apply (§§ 288, 286 BGB).

5. Client obligations

The Client provides the information, access, decisions and cooperation necessary for the Services to be delivered, and will do so on time. Delays caused by the Client may extend deadlines and may lead to additional costs, which the Provider will communicate in advance.

6. Cancellation, rescheduling and no-shows

6.1 Dates may be rescheduled by mutual agreement.
6.2 [TO CONFIRM: cancellation policy, e.g. free cancellation up to X days before the date; later cancellation is charged at Y% of the fee; full fee for no-shows.]
6.3 If the Provider must cancel for reasons it is responsible for, the Client may choose between rescheduling and a refund of fees already paid. Further claims are excluded, except as set out in section 10.
6.4 If the Provider cancels for reasons beyond its control (e.g. illness, force majeure), it will offer a replacement date. The Client has no claim to damages.

7. Intellectual property and usage rights

7.1 All methods, models, frameworks, tools and materials of the Provider, including ARON® and EVE, Digital.CoCreation®, MOPTIfive and related materials ("Materials"), remain the intellectual property of the Provider.
7.2 The Client receives a non-exclusive, non-transferable right to use the Materials provided during the Services for its own internal purposes. Reproduction, distribution, publication or use for training third parties requires the Provider's prior written consent.
7.3 Recordings of keynotes, workshops or seminars require the Provider's prior written consent and, where applicable, the consent of participants.

8. Confidentiality

Both parties treat confidential information disclosed in connection with the contract as confidential and use it only for the contract. This obligation does not apply to information that is publicly known, was already known to the receiving party, or must be disclosed by law or court order. The obligation survives the end of the contract for [TO CONFIRM: e.g. 3 years]. Trusted partners engaged under section 3.4 are bound by the same obligation.

9. Data protection

The Provider processes personal data in accordance with the GDPR and the Provider's privacy policy. Where the Provider processes personal data on behalf of the Client, the parties will conclude a data processing agreement under Art. 28 GDPR.

10. Liability

10.1 The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act (ProdHaftG).
10.2 For slight negligence, the Provider is liable only for breach of essential contractual obligations (obligations whose fulfilment makes proper performance possible in the first place, and on whose performance the Client regularly relies). In this case, liability is limited to the foreseeable, typically occurring damage.
10.3 The liability limitations in
10.2 do not apply to claims under the German Product Liability Act or where the law requires unlimited liability.
10.4 Advice and recommendations are based on the information provided by the Client. The Provider is not liable for decisions made by the Client on this basis.

11. No legal, medical or regulatory advice; AI-related services

11.1 The Services do not constitute legal, medical, regulatory or tax advice. This applies in particular to topics relating to the Medical Device Regulation (MDR), the In Vitro Diagnostic Regulation (IVDR), the FDA, the EU AI Act and data protection. Compliance with such requirements remains the responsibility of the Client, and the Client should obtain specialist advice where needed.
11.2 Services relating to artificial intelligence are organisational and advisory in nature. They focus on how people work, decide and share information, and on the conditions for adoption and governance. Unless expressly agreed in writing, the Services do not include the selection, provision, configuration or technical implementation of AI tools, and no specific regulatory compliance outcome is owed.

12. Term and termination

12.1 Contracts for a single service end upon completion of the agreed service. 12.2 Ongoing engagements may be terminated by either party with [TO CONFIRM: notice period, e.g. 4 weeks] notice to the end of a month, unless a fixed term is agreed.
12.3 The right to terminate for good cause (§ 314 BGB) remains unaffected.

13. Consumers:

right of withdrawal Consumers (natural persons acting for purposes outside their trade or profession) who conclude a contract at a distance have a statutory right of withdrawal. Details, the consequences of withdrawal and the model withdrawal form are set out on our separate page "Right of Withdrawal".

14. Dispute resolution

The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

15. Final provisions

15.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory consumer protection provisions of their place of habitual residence remain unaffected. 15.2 Where the Client is a merchant (Kaufmann), a legal person under public law or a special fund under public law, the place of jurisdiction is [TO CONFIRM: place of business of the Provider, e.g. Königstein im Taunus].
15.3 Changes and additions to these Terms must be in writing. This also applies to any waiver of this written-form requirement.
15.4 If any provision of these Terms is or becomes invalid, the remaining provisions remain in effect. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid one.
15.5 The contract language is English, unless agreed otherwise in writing. The English version of these Terms is binding, unless mandatory consumer protection law provides otherwise.
